Basically the new CPU would work. I assume that you can get the new CPU very cheap. I quickly searched for it and found it for about $90. To be honest I wouldn't pay this price for another 150MHz and 512kB L2. You hardly will notice any improvement.

If you change the CPU you will have to renew the heat conductive paste on the CPU and depending on the design on the GPU as well. I don't know you notebook from the inside but this is the way it is in newer Amilos and I don't think that the design has changed so much.
In newer Amilos CPU and GPU have different heights. A 0.5mm-copper-sheet on the GPU has proven to be the best solution if you look for maximum cooling performance. But a thermal pad (without paste) will be enough in most situations and is easier to handle.
I don't know if this height difference also exists in your model and if it's the same difference. But I would think so.
For the CPU and also for the GPU in combination with the copper-sheet "Arctic Silver 5" as the heat conductive paste is something like the standard and shows good results.

I did try to replace (3.06 with 3.20 GHz P4 HT 478 Pin), but screen goes blank, not even BIOS screen...my BIOS version is 1.08 (UniWill Motherboard on mine Amilo D 7830), was trying to upgrade BIOS to 1.10 from Uniwill motherboard website but with no luck, was thinking BIOS upgrade might help me to change CPU and Motherboard will be able to accept new CPU

The bios of a notebook is always some kind of mysterium since the specifications aren't published. Your hardware supports the CPU but obviously your bios does not.
If you already upgraded to the newest bios version and it still doesn't work, there will be no way to make the new CPU work.
